Ein erstes, größtenteils hölzernes Rathaus wurde 1241 gebaut, als Damme noch ein Hafen war und das Zwin noch nicht versandet war. Das Erdgeschoss des Gebäudes diente als Warenlager, im Obergeschoss befand sich die Schöffenbank .
Das heutige steinerne Rathaus wurde zwischen 1464 und 1468 erbaut. Die Stadtratssitzungen finden hier noch jeden Monat in der Vierschaere statt. Die standesamtliche Trauung der Gemeinde Damse findet im Ratssaal statt. In den Sälen des Rathauses finden verschiedene Veranstaltungen und Ausstellungen statt.
Eine doppelt gewölbte Treppe mit Löwen und vier Ecktürmchen schmücken die Vorderfassade. Im Turm ist ein Glockenspiel mit 39 Glocken installiert. Bemerkenswert sind auch die Stadtuhr von 1459 und eine Sonnenuhr.
Die sechs Fassadenstatuen repräsentieren hauptsächlich die Grafen von Flandern .
